Shopall Ads General Concepts
- I am currently running ads from Google AdSense and/or other advertising providers on my website. Can I simultaneously include Shopall Ads to maximize my earnings?
Yes. Shopall is complementary and fully compatible with other online advertising platforms.
Please note that Shopall is not a conventional advertising tool. Apart from generating revenues for our Affiliates, we also offer them the possibility of including a customized online Shopping Mall as well as customized Shopall Product Ads that will display products and services related to their site’s content in a visually attractive way.
Over 75% of our Affiliates use more than one online advertising provider to fully monetize their website's traffic. Our objective is to offer a value added service which is flexible and visually attractive for end-Users, and which can coexist with any other online advertising platform.
We firmly believe that Webmasters must have the freedom and flexibility to combine as many methods and platforms as they wish in order to extract the most out of their website. - How can I register to include Shopall Ads in my website?
Becoming a Shopall Affiliate is easy and completely free, and you may cancel your membership at any time simply by removing our ads from your website.
First you will need to create an Affiliate Account by following these 4 simple steps.
Once you have submitted the Shopall Registration Form, we will send you a confirmation e-mail to activate your Affiliate Account. From that moment, your Affiliate Account will be active and fully operational, and you will be able to start creating ads and generating revenues.
- How can I access my Affiliate Account?
In order to access your Affiliate Account, you will first need to register (please see previous FAQ).
Log on to http://pcontrol.shopall.com and insert the e-mail address and password which you provided to us during the registration process. - I lost my password. How can I recover it?
You may request a new password, or recover your original password, here.
- I live in another country, and/or a significant portion of my website’s traffic comes from several different countries. Can I include Shopall Ads in my website?
Yes.
You may become a Shopall Affiliate and run Shopall Ads on your website independent of your country of origin or your website’s geographical traffic split. The Shopall platform includes international content, and it automatically detects and factors into its algorithms the end-User’s country of origin to display the most appropriate advertisements.
Depending on the nationality of your website’s traffic, however, the variety of ads displayed and their overall performance may vary as this ultimately depends on factors including number of active Advertisers per geographical segment or market conditions in each of these countries. - Apart from Product Ads, can Shopall provide me with a customized shopping mall?
If your website is eligible, you will be able to set-up and configure your own customized shopping mall from your Affiliate Account in just a few simple steps.
Via the "Shopping Engine" tab of your Affiliate Account, you will be able to request access to a comprehensive online interface that enables webmasters to customize their own Shopping Mall quickly and easily.
This interface includes several options allowing you to customize different Shopping Mall elements such as header, footer, color scheme, alignment, page width, buttons… Essentially you will be able to offer your end-Users a fully functional Shopping Mall where they will be able to search and compare thousands of products from different merchants. - I have applied for access to the Shopping Engine tool from my Affiliate Account. Now what?
When you request access to our online Shopping Mall interface, you will automatically receive an e-mail from us confirming receipt of your application.
The Shopall Affiliates Team will then study your Shopping Mall application carefully and determine whether or not your website is eligible for this product. This includes analyzing your target user base, overall traffic volume, traffic nationality and several other key factors.
Should your website be considered eligible for this product, you will be able to configure your Shopping Mall through the "Shopping Engine" tab of your Affiliate Account and we will contact you to confirm when this option has been set-up for you. If our team decides, on the other hand, that it is more convenient to wait some time before activating this option, we will also inform you.
Please note that our Affiliates Team receives many Shopping Mall requests on a daily basis, so it might take up to 72 hours or more to review your application. - I have applied for access to the Shopping Mall tool from my Affiliate Account, but my website has not been considered eligible. Why?
Our Shopping Mall only provides substantial revenues to websites with certain characteristics:
- Website’s theme and content must be coherent with there being a Shopping Mall.
- Significant volume of traffic and unique users.
- Demographics and user profile.
- Capability of the Affiliate to promote the Shopping Mall and generate qualified traffic.
Because setting-up and maintaining a Shopping Mall for each Affiliate represents a significant cost for Shopall which we assume entirely, it is not possible to activate this interface for every applicant. - Can I include Shopall Ad codes in more than one website?
Yes, as long as all websites where you intend to display Shopall Ads adhere to and comply with our Affiliate requirements. In this case, you may generate codes from the same Affiliate Account and display them throughout your websites without having to create another account.
Although Shopall systematically detects and monitors all websites where our ads are being displayed, we would appreciate if you could contact us ([email protected]) to inform us of where you intend to place our advertisements. That way our Affiliates Team will be able to revise the new site, make sure that it complies with our requirements and send you optimization tips.
If the content offered throughout the websites where you intend to place Shopall Ads is very different, or if one of these sites is adult-oriented, we strongly urge you to create a new Affiliate Account as our technology takes into account the user base and website content in order to optimize ads on an account by account basis. - Program Eligibility and Affiliation Policy
Please note that Shopall reserves the right to refuse Affiliation to any website that does not comply with our Terms and Conditions, or to cancel Affiliation at any time. This includes - among other cases - websites with erotic or pornographic content, sites that directly or indirectly encourage click generation on our ads, sites that do not comply with applicable laws and regulations, websites that infringe third party intellectual property rights, or in general websites that violate fundamental rights and/or civil liberties. Similarly, Shopall may suspend affiliation at any time without prior notice or justification if we consider that there is a misuse of our advertising codes, or that the clicks and/or impressions generated are not sufficiently qualified.

Payments
- How much money will I make by displaying Shopall Ads in my website?
Shopall will pay you a share of the revenues generated from the ads placed on your website. Your total earnings will depend on a number of different factors including:
1) Volume of impressions generated by the Shopall Ads, and their placement within your page.
2) Payment negotiated and collected by Shopall from its advertisers.
3) Sales and valid leads generated from your website to the Shopall advertisers.
4) IP/Nationality of your main user base.
Because our Advertisers work with different revenue models (CPM, PPC, CPL, CPA, CPS...) Shopall converts all of these metrics into a single "Effective CPM" or eCPM which essentially indicates how much you are earning per each page impression of our ads. This will allow you to compare the return of our Ads with respect to other providers.
In any case, the best way of discovering how much money you will make and the value provided by our ads for your end-Users is by actually signing-up for the Affiliate Program. It is free, and you may cancel your membership at any time simply by removing our ads from your website. - How does the Shopall payment cycle work?
Shopall follows a quarterly payment schedule, so that we pay our Affiliates 4 times a year. The process is triggered from the Affiliate Account and is fully automated.
It is the responsibility of each Affiliate to issue the corresponding invoice every 4 calendar months by entering his or her Affiliate Account, going to the "My Account" section and selecting the option "Issue Outstanding Invoices":
- April (issue invoice for revenues generated in January, February and March)
- July (issue invoice for revenues generated in April, May and June)
- October (issue invoice for revenues generated in July, August and September)
- January (issue invoice for revenues generated in October, November and December)
The invoice amount will be the sum of the 3 previous months, and it will be indicated green in your Affiliate Account. Shopall will pay outstanding invoices approximately within 30 days upon their issuance. - How will Shopall pay my earnings?
Shopall currently pays its Affiliates by Bank Transfer, Paypal, Western Union or DineroMail. Other payment methods are under consideration and may be added in the future.
- Can I change the bank account where I wish to be paid?
Before issuing an invoice from your Affiliate Account, you will be able to confirm or edit the bank account where you wish to be paid. Should you wish to change your preferred payment method altogether, please contact [email protected] and we will arrange it for you.
- Do I need to pay taxes on my Shopall earnings?
In compliance with Spanish legislation, Shopall must obtain from each Affiliate certain fiscal information from their country of origin (for example VAT Registration Number, CUF, CUIT…) in order to legally process their payments.
It is then responsibility of each Affiliate to understand and comply with the corresponding fiscal and tax obligations in their own country resulting from the earnings generated by Shopall.
If you have doubts or further questions regarding the specific fiscal and tax requirements related to this kind of activity in your country, we strongly advise you to contact an expert advisor. - Can I include only PPC or only CPM ads in my website?
No. Shopall determines what type of ads to display with the objective of maximizing you effective CPM regardless of the remuneration method. Depending on your website’s content and your primary audience, Shopall will deliver CPM or PPC ads, together with other revenue models, in order to maximize overall earnings both for you and for our Advertiser.
- How much money will I make by displaying Shopall Ads in my website?

Ad Implementation and Optimization
- How can I optimize ad performance to increase my earnings?
In general, there are 3 key tips for maximizing your earnings from Shopall Ads:
- The more ads you display on your website, the higher your earnings will tend to be.
- The greater the visibility of our ads on your website, the better they will adapt to your target audience and website content allowing for better performance.
- Customizing your Shopall Ads to achieve a better integration within your site will also tend to improve performance as end-Users will see them as an integral part of the site and perceive them as value added content. - I have already inserted Shopall Ads on my website, but no impression data is being shown in my Affiliate Account.
The Shopall platform updates impressions, Effective CPM (eCPM) and revenue data on your Affiliate Account every 24 hours based on GMT+1 time zone.
This means that the data you see through your Affiliate Account is not in real-time. Therefore, if you have included Shopall Ads on your website and no data is being shown yet through your Affiliate Account the most likely reason is that this data has not yet been updated. - I have configured and customized a Shopall product ad, but sometimes that module displays a graphical banner ad which is different from what I created. How does Shopall determine what ads to display?
The Shopall platform is based on a highly sophisticated targeting technology which decides not only what products to display, but also what kind of ad configuration to use (product based or graphical banner based) per site, section and user at any given time with the sole objective of maximizing your Effective CPM and overall earnings.
If the Shopall platform decides that in a given space, and for a given end-User, the Effective CPM of a graphical banner ad is likely to be higher than the Effective CPM of the product ad which you have configured, it will display the former in order to improve overall performance for you. - Can I target Shopall Ads using specific categories or keywords?
Yes. When configuring ads through your Affiliate Account you will be able to add keywords and/or categories to each of your saved configurations.
Please note that this does not guarantee that every ad displayed for this configuration will be based exclusively on the keywords and/or categories that you have specified. The Shopall platform uses many different variables to decide which ad to display at any given time, and to any given user, for example what ads are performing best in other sites similar to yours.
Although Shopall does take into account the keywords and/or categories you have suggested for a given ad configuration, many other parameters will also be factored in so as to maximize your overall earnings. - Does Shopall take into consideration the country where each user is based when displaying ads?
Yes. Shopall currently has agreements with thousands of Advertisers worldwide. Each of these Advertisers generally targets an audience from a particular geographic region, therefore determining which users can see their ads and which ones cannot based on their location.
Shopall then matches each Advertiser’s regional target with each of your users in order to display the most appropriate ads to maximize performance.
It is worth noting that Advertisers are generally not willing to pay the same for traffic from different regions, so your overall earnings will depend to a large extent on where your audience is based. - Where do the Shopall Ads come from?
Thousands of Advertisers worldwide promote their products and services through the Shopall Affiliate Network sites. These Advertisers might decide to advertise one specific product or service, or their entire product catalogue which may include over 100,000 product references.
We have a large selection of ads in many different categories to display those products that relate best with your audience and with the content of your website whatever that might be.
Because Shopall is fully responsible for finding, negotiating conditions, signing-up, integrating, updating and collecting payment from the best Advertisers worldwide our Affiliates can display the most attractive content without having to worry about these complex issues. - What Ad Format should I be using?
Shopall offers over 30 different ad formats in different shapes and sizes for you to include in your website. Our Affiliates team regularly measures and analyzes the performance of each module so from time to time we may add new formats, or remove some of the existing ones, according to overall performance.
Generally the wider ad formats (such as the 728x90 product module) tend to perform better than narrower ad formats because they are easier to read by the end-User.
Similarly, we know that Shopall Ads that are integrated within a website’s content will tend to perform better overall than those displayed in conventional ad spaces such as the page header or footer. This is because users will perceive well integrated ads as a value-added content as opposed to mere advertising which is easier for them to ignore. Generally the effort you put in customizing Shopall Ads to blend in with your website’s look & feel will pay off.
Conventional Interactive Advertising Bureau (IAB) formats (including 728x90, 160x600, 300x250, 120x600...) are quite versatile; being international ad standards which attract a large number of Advertisers it is likely that these formats will have a large product offering in many different countries. You will see a Top Formats section in your Affiliate Account, which is a good starting option to create your ads. - How much should I customize my ads?
As a general rule the more you customize an ad (adapting colors to your page’s look & feel, selecting appropriate sizes, adding a header and footer…) the better it will perform because end-Users will perceive these modules as value-added content that enhances their browsing experience.
Unlike the conventional banner ads which end-Users are much used to seeing elsewhere throughout the web, Shopall Ads can be configured in many ways to blend in perfectly with your website so that each module is truly exclusive and unique to your page.
However, there is always a point beyond which additional customization may not be beneficial. If the Shopall Ads blend in with your content so well that the Users cannot distinguish them from the rest of your site’s content, it might significantly reduce interaction and hence hinder your earnings. - Does Shopall have a product data feed so that I can integrate product results within my website’s search engine?
Yes.
Shopall offers eligible Affiliates an XML-based integration based on our product data feed. This API basically allows Affiliates to launch queries in real-time through our database, and display specific product results.
In general this kind of integration is only appropriate for search engines and websites that generate a significant volume of internal searches.
If you think that this option might be right for you, please contact us. - My reports show impressions, but the earnings seem to be quite low. Why is this?
It is possible that we have recorded invalid clicks and/or impressions originating from your website. In order to safeguard the interests of our Advertisers, and allow Affiliates to generate increasing earnings over the long-term, Shopall carefully supervises all activity and interaction with our ads to avoid incorrect or fraudulent use.
In consequence, it may be the case that although you are generating a significant number of impressions these are ultimately not generating any effective business for our Advertisers who in turn will not be willing to pay a high effective CPM for this traffic.
It might also be the case that you are generating a significant volume of traffic from a country or countries with a limited Advertiser base, or where online advertising conditions tend to result in a lower effective CPM. - How long does it take for Shopall Ads to appear on my website?
Once you have created and saved an ad configuration through your Affiliate Account, the corresponding code will start to display ads within a few minutes.
Please note that both ad relevance, variety and performance (in terms of effective CPM) will tend to increase over time as the system acquires additional behavioral and contextual information from your website and applies different optimization algorithms with that information.

Your participation in the Shopall Affiliate Program implies the acceptance and adherence to these terms and conditions at all times.
Please note that Shopall may modify these terms and conditions at any time, and that it is your responsibility to keep up to date with, understand and adhere to the terms and conditions displayed here at all times.
Shopall reserves the right to reject your Affiliate Program registration, or to disable your Shopall Affiliate account at any time without prior notice, should you fail to comply with the Shopall Affiliate Program terms and conditions as set forth herein.
By registering in the Shopall Affiliate Program you represent that you are at least 18 years of age. - Introduction and definitions
C�digo Barras Networks, S.L. (“Shopall”) offers webmasters, website owners and/or any agency or network acting on their behalf, (“You”, “The Affiliate” or, collectively, “Affiliates”) tools and mechanisms enabling the creation and insertion of advertisements, search applications, product information, consumer opinions, online shopping services, rss feeds and/or any other type of content (“The Shopall Modules”) in their website. Shopall Modules may, amongst other features, advertise different consumer products and services offered either by Shopall directly or by third party merchants and advertisers adhered to the Shopall online advertising platform. By registering in the Shopall Affiliate Program (“The Affiliate Program”) you agree that Shopall may serve third party and/or Shopall provided advertisements and/or other content throughout your website.
Participation in The Affiliate Program is subject to prior approval by Shopall and your continued compliance with these Terms and Conditions (“The Terms & Conditions), as well as your observance of The Affiliate Program policies and implementation guidelines that Shopall may issue from time to time via electronic mail, a website or any other communication channel it deems appropriate. Shopall reserves the right to refuse participation to any applicant, or cancel Affiliate Program membership, at any time in its sole discretion without prior notice.
By accepting these Terms and Conditions you accept to comply at all times with the policies and guidelines provided by Shopall with respect to the Shopall Modules, and refrain from modifying in any way the codes generated by Shopall. Similarly, you agree to direct any communication regarding The Affiliate Program or the Shopall Modules to Shopall, and not to any merchant or advertiser whose products and services may appear through the Shopall Modules.
SHOPALL reserves the right to alter the presentation, configuration, operation, look & feel, layout and/or content of the Shopall Modules at any time without prior notice to The Affiliate, as well as revising, editing or updating in any way the Terms & Conditions which govern Your participation in The Affiliate Program and Your use of the Shopall Modules. It is consequently advisable that the Affiliate revises the Terms & Conditions that may be updated from time to time without prior notice. - Duration and termination
The term of the Shopall Affiliate Program is, in principle, indefinite and there is no specific termination date.
Both Shopall and The Affiliate may terminate participation in The Affiliate Program unilaterally at any time, with or without cause, by providing written notice (including by electronic mail to [email protected]) to the other party. Upon termination of Your participation in The Affiliate Program Shopall will be entitled to deactivate the Affiliate account, cancel access to Your Affiliate Extranet as well as disable the Shopall Modules even though these may still be implemented in Your website(s). - Use of cookies
The Shopall Modules incorporate the use of cookies, web beacons and/or other devices to collect information that may allow for a better performance of the program.
Shopall cookies are associated with anonymous users and their browsing activity, whilst they do not provide Shopall with that user’s name, telephone number or other personal information without their consent. Users have the possibility of configuring their web browser to prevent the installation of cookies on their computer. - Shopall limitation of responsibility
Through The Shopall Modules implemented by Affiliates throughout their websites, Shopall allows advertisers to create visibility for their products and services. As it is the Advertiser and not Shopall who is in fact selling or providing the advertised product or service, users must carefully read the terms of sale of each individual merchant or advertiser before transacting with them.
Shopall is independent from the merchants and advertisers whose products and services are advertised through The Shopall Modules, and therefore displayed through the Affiliate website(s), and it is the merchant and/or advertiser who is fully responsible for the sale, post-sale, customer service and billing of the products and services which they advertise through the Shopall platform.
Shopall does not monitor and/or control the products and services advertised by merchants and advertisers through the Shopall Modules, nor the individual terms and conditions of each merchant and/or advertiser. Shopall Modules merely aggregate products and services from a wide range of different merchants and advertisers who are ultimately responsible for the sale and post-sale service.
SHOPALL MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WITH RESPECT TO ADVERTISING, LINKS, SEARCH AND OTHER SERVICES, AND EXPRESSLY DISCLAIMS THE WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR ANY PARTICULAR PURPOSE. TO THE EXTENT SHOPALL ADS ARE BASED ON OR DISPLAYED IN CONNECTION WITH NON-SHOPALL CONTENT, SHOPALL SHALL NOT HAVE ANY LIABILITY IN CONNECTION WITH THE DISPLAY OF SUCH ADS, LINKS, AND SEARCH RESULTS.
Through the Shopall extranet Affiliates may configure The Shopall Modules to a certain extent, and in some circumstances set preferences as to the products and/or categories that may appear in such Shopall ads on a purely indicative basis. The Affiliate, however, understands and accepts that it is his/her own responsibility to configure the Shopall Modules and apply such preferences, and that Shopall in no way guarantees that the content displayed throughout the Shopall Ads will consistently comply with the preferences selected and applied by the Affiliate.
Shopall makes no guarantee, express or implied, regarding the amount of any payment to be made to The Affiliate under this Agreement, regardless of the level of impressions, clicks and/or any type of action generated on the Shopall Modules. In addition, for the avoidance of doubt, Shopall does not guarantee that the Affiliate Program will be operable at all times or during any down time caused by outages, failures of your or Shopall’s equipment, or events beyond SHOPALL’s control.
If an Affiliate or any third party believes that the products and/or services being displayed through the Shopall Modules may be in violation of intellectual property rights or are illegal in any other way, they must immediately notify Shopall to the effect in writing providing detailed information including (a) contact name, telephone number and full address (b) description of the alleged infringement (c) in the event of violation of intellectual or industrial property rights, authorized signature and contact information of the legitimate holder of such rights and (d) explicit declaration of the veracity of the information being notified.
Such notifications must be sent in writing to [email protected]. - License and intellectual property rights
Shopall may use the Affiliate name, logo and/or website URL in its own marketing materials, presentations as well as in any other oral/written communications with actual or potential clients.
Shopall owns all right, title and interest in and to the Shopall Affiliate Program. By entering this Agreement Shopall does not grant the Affiliate any right, title, claim or interest in or to the Affiliate Program except as expressly set forth in the Terms & Conditions.
Under no circumstances may the Affiliate modify, adapt, translate, prepare derivative works from, decompile, reverse engineer or otherwise attempt to derive source code from any Shopall service, software, or documentation, or create or attempt to create a substitute or similar service through use of or access to the Affiliate Program.
Affiliates may not remove, hide or in any way alter any Shopall copyright notices, “powered by” texts or any other proprietary rights notices affixed to or contained within any Shopall service, software, or documentation including but not limited to the Shopall Modules. - Unauthorized manipulation and insertion
Affiliates shall not directly or indirectly edit, manipulate or modify in any way the Shopall Modules as generated by Shopall or through the Affiliate Extranet, or alter their normal operation. In particular Affiliates may under no circumstance generate – directly or indirectly – clicks or impressions on the Shopall Modules or authorize and/or encourage third parties to do so.
The Shopall Modules may not be implemented in pop-up windows, pop-under windows, error pages or pages devoid of proprietary content. You may not add headers or titles to the Shopall Modules, or embed the Shopall Modules in text, that encourages users to click or otherwise interact with the Shopall Modules. Similarly You may not implement images next to or around the Shopall Modules that may potentially confuse users, or promote the Shopall Modules via electronic mail communications, ads or search engine activity on third party websites or networks.
The Shopall Modules may not be implemented in websites that include or promote (i) adult content (suggestive, erotic or pornographic) (ii) deceptive products, services or schemes (iii) hate speech, defamation or profanity (iv) illegal substances or activities (v) weapons, violence or hate speech (vi) generation of search queries, clicks or impressions on the Shopall Modules directly or indirectly through any automated, deceptive, fraudulent or other invalid means, including but not limited to through repeated manual clicks, the use of robots or other automated query tools and/or computer generated search requests.
The Affiliate may in no way edit the URL resulting from a particular ad displayed in the Shopall Modules, frame, minimize, remove or otherwise inhibit the full and complete display of any web page accessed by a user after clicking on any part of a Shopall Module. You acknowledge that any attempted participation or violation of any of the foregoing is a material breach of this Agreement and that Shopall may pursue any and all applicable legal remedies against You. - Affiliate payment
Shopall does not guarantee that this Agreement will directly or indirectly generate a minimum level of revenues for the Affiliate.
The implementation and implementation tools, suggestions and information that Shopall may make available to Affiliates from time to time is purely indicative and does not imply that it will increase revenue for the Affiliate.
Affiliate payments will be related to the number of valid clicks, valid impressions and/or valid actions (including but not limited to registration or purchase) generated by end-users through the Shopall Modules implemented on your website. Shopall will determine at its own discretion what constitutes a valid click, valid impression and valid action and reserves the right to modify these criteria without prior notice.
Shopall reserves the right to withhold payment in the event of any breach of these Terms & Conditions the Affiliate, or in the event that an advertiser whose advertisements are displayed through the Shopall Modules defaults on payment for such advertisements to Shopall.
To ensure adequate payment The Affiliate is solely responsible for providing and maintaining accurate contact and payment information that may be required by Shopall, and to issue the corresponding invoices on a quarterly basis (currently January, April, July and October for the revenues generated in the previous quarter). Should the Affiliate fail to comply with the quarterly issuance of invoices, or if the amount generated by the Affiliate for that particular quarter is below 100�, Shopall reserves the right to retain payment until the Affiliate issues the invoice and/or accumulates a balance in excess of 100�.
Payment shall be calculated solely based on records maintained by Shopall. No other measurements or statistics of any kind shall be accepted by Shopall or have any effect under this Agreement.
If Shopall suspects that the Affiliate is generating non-valid clicks, , impressions or actions as described in the Terms & Conditions Shopall retains the right to withhold payment to the Affiliate indefinitely.
It is the responsibility of each Affiliate to understand and comply with the corresponding fiscal and tax obligations in their own country resulting from the earnings generated by Shopall. - Indemnification
The Affiliate hereby agrees to indemnify, defend and hold Shopall, its employees, agents, affiliates, subsidiaries, directors, officers and applicable third parties (e.g. advertisers, licensors and licensees) (“The Indemnified Parties”) harmless from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts, and reasonable legal fees), brought against Shopall and/or any Indemnified Party related to this Agreement or to Your use of the Program.
- Confidential information
The Affiliate agrees not to divulge any information regarding Shopall or The Affiliate Program, including without limitation all Shopall software, technology, programming code, specifications, materials, guidelines and documentation relating to the Shopall Modules, or any statistics relating to the performance of the Affiliate Program on your website provided to you by Shopall, without the prior written permission of an authorized Shopall representative.
- Affiliate representations and warranties
The Affiliate hereby represents and warranties that (a) all of the information provided to Shopall during the Affiliate Program registration process is correct and current; (b) You are the owner of the website(s) where You intend to display Shopall Modules, or that you are legally authorized to act on behalf of the owner for the purposes of this Agreement; (c) You have all necessary right, power, and authority to enter into this Agreement and (d) the website(s) where You intend to display Shopall Modules do not include or promote (i) adult content (suggestive, erotic or pornographic) (ii) deceptive products, services or schemes (iii) hate speech, defamation or profanity (iv) illegal substances or activities (v) weapons, violence or hate speech (vi) generation of search queries, clicks or impressions on the Shopall Modules directly or indirectly through any automated, deceptive, fraudulent or other invalid means, including but not limited to through repeated manual clicks, the use of robots or other automated query tools and/or computer generated search requests.
- Completeness of this agreement
This Agreement constitutes the entire agreement between Shopall and The Affiliate with respect to the subject matter hereof, and revokes and supersedes all prior agreements (both oral and written) between Shopall and The Affiliate.
The failure to require performance of any provision shall not affect a party's right to require performance at any time thereafter, nor shall a waiver of any breach or default of this Agreement constitute a waiver of any subsequent breach or default or a waiver of the provision itself. If any provision herein is held unenforceable, then such provision will be modified to reflect the parties' intention, and the remaining provisions of this Agreement will remain in full force and effect.
Shopall may, at any time and at its full discretion, interrupt or terminate part or the entirety of the Affiliate Program, with or without cause, and without prior notice.
SHOPALL RESERVES THE RIGHT TO REJECT PROGRAM REGISTRATION, OR TO DISABLE ANY EXISTING AFFILIATE ACCOUNT AT ANY TIME, WITHOUT PRIOR NOTICE. - Governing law and jurisdiction
This Agreement shall be governed by the laws of Spain. Any dispute or claim arising from this Agreement shall be adjudicated in Barcelona, Spain.
